4. PERMITTED USE AND RESTRICTIONS

4.1

Subject to compliance with these Terms, you are granted a limited, non-exclusive, revocable, and non-transferable right to access and use the Site for personal and non-commercial purposes only.

4.3

6. USER-GENERATED CONTENT

6.1

SaaSpick reserves the absolute right to review, moderate, edit, refuse, or remove any User Content at its sole discretion and without prior notice.

Submission of User Content shall not create any confidential, fiduciary, or contractual relationship between you and SaaSpick.

You agree to indemnify, defend, and hold harmless SaaSpick, its proprietor, affiliates, contractors, and representatives from and against any and all claims, liabilities, losses, damages, proceedings, costs, and expenses (including reasonable legal fees) arising from or relating to:

  • Breach of these Terms;

14. GOVERNING LAW AND JURISDICTION

14.1

These Terms shall be governed and construed in accordance with the laws of India, without regard to conflict of law principles.

14.2

Subject to the arbitration provisions set out in Section 15, the competent courts situated at New Delhi, India shall have exclusive jurisdiction to entertain any application for interim or interlocutory relief, for the enforcement of arbitral awards, or for any matter that is not arbitrable under applicable law.

15. ARBITRATION

Any dispute, controversy, or claim arising out of or in connection with these Terms or the use of the Site shall first be attempted to be resolved amicably between the parties through good-faith negotiations for a period of not less than thirty (30) days from the date on which written notice of such dispute is delivered.

Failing such amicable resolution, the dispute shall be referred to and finally resolved by arbitration administered in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time. The tribunal shall consist of a sole arbitrator, jointly appointed by the parties. If the parties fail to agree on the appointment of the sole arbitrator within thirty (30) days of the request for arbitration, the arbitrator shall be appointed in accordance with the provisions of the said Act.

The seat and venue of arbitration shall be New Delhi, India. The language of the arbitration shall be English. The award rendered by the arbitrator shall be final and binding on the parties, subject only to such rights of challenge as may be available under the Arbitration and Conciliation Act, 1996.

16. MODIFICATION OF TERMS

16.1

SaaSpick reserves the right to amend, modify, or update these Terms at any time.

16.2

Any changes shall become effective upon publication on the Site unless otherwise specified. The “Last Updated” date above shall indicate the most recent revision.

16.3

Continued use of the Site following publication of revised Terms shall constitute deemed acceptance of such revised Terms.

17. SEVERABILITY AND ENTIRE AGREEMENT

17.1

If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a competent authority, the remaining provisions shall continue in full force and effect.

17.2

These Terms, together with the Privacy Policy and Affiliate Disclosure Policy, constitute the complete and entire agreement between you and SaaSpick concerning use of the Site.
